Terms of Institutional Engagement
Contractual covenants, Special Purpose Vehicle (SPV) operating standards, and credit issuance protocols governing partnerships with CarboMomentum Global Innovations Private Limited.
1. Foundation & Contracting Parties
These Terms of Engagement constitute a binding institutional framework between CarboMomentum Global Innovations Private Limited (CIN: U74909GJ2026PTC181184), registered under the Companies Act, 2013, and counterparties engaging via our FOCO investment model, credit offtake contracts, or digital platforms.
Each physical biochar conversion facility is ring-fenced within an independent Special Purpose Vehicle ("Project SPV"), ensuring that asset titles, equipment leases, and cash reserves remain insulated from external operational liabilities.
2. FOCO Investment Model Covenants
- Capital Ring-Fencing: Investor funds are deposited directly into designated SPV escrow accounts and utilized strictly for plant engineering, continuous pyrolysis retorts, and weighbridge telemetry.
- Turnkey O&M Service: CarboMomentum acts as contractor and asset operator under long-term Operating & Maintenance agreements with strict availability covenants (>90% operational uptime).
- Quarterly Distribution Mechanics: Project net cash flows from certified CORC sales and bulk agricultural biochar are audited and distributed quarterly according to equity subscription shares.
3. Credit Verification & Registry Standards
Carbon Removal Certificates (CORCs) issued by CarboMomentum adhere to:
- Isometric Biomass CDR Standard v2.4: Strict molar H:Corg threshold ≤ 0.35, ensuring >1,000-year carbon durability.
- India CCTS Compliance: Alignment with the Carbon Credit Trading Scheme established by the Ministry of Power and Bureau of Energy Efficiency (BEE).
- Direct Cryptographic Serialization: Every batch carries a unique SHA-256 provenance hash, kiln line record, and independent lab assay.
4. Irrevocable Retirement & Anti-Double-Counting
Corporate credit buyers retiring CORCs for Scope 3 net-zero accounting receive an irreversible on-chain certificate. Once retired, credits are permanently decremented from available inventory in our synchronized database and cannot be re-transferred, resold, or re-claimed by any third party.
5. Dispute Resolution & Jurisdiction
All bilateral contracts, offtake agreements, and investment subscriptions are governed by the laws of India. Any unresolved dispute arising hereunder shall be submitted to binding arbitration in Mumbai/Surat in accordance with the Arbitration and Conciliation Act, 1996.
